1. Introduction

These Terms of Service (“Terms”) govern access to and use of the website theldb.co and any related services, digital products, or resources offered by The Legal Drafting Bureau (“the Bureau”, “we”, “our”, or “us”).

By accessing the website or purchasing any template or service, you agree to be legally bound by these Terms.

If you do not agree with these Terms, you must not use the website or any materials provided through it.

2. Nature of the Services

The Legal Drafting Bureau provides:

  • professionally drafted legal document templates

  • structured contract frameworks

  • legal drafting resources

Templates are designed to provide reliable legal drafting frameworks capable of being used by businesses and individuals.

However, templates are generalized drafting tools and are not tailored to any specific transaction unless explicitly agreed through a separate engagement.

3. No Lawyer–Client Relationship

Accessing the website or purchasing templates does not create a lawyer–client relationship.

A lawyer–client relationship arises only where:

  1. the Bureau expressly agrees to provide legal services; and

  2. a separate written engagement agreement is executed.

4. Digital Products

All templates sold through the website are digital products delivered electronically.

Upon successful payment, users receive access to download the purchased template.

Delivery is deemed complete once the download link is made available.

5. Use of Templates

Templates provided by the Bureau are intended to serve as structured legal frameworks for agreements.

Users may:

  • download templates

  • edit or adapt them

  • use them in their own transactions

However, users are responsible for ensuring that the document is appropriate for their circumstances and complies with applicable laws.

6. User Modifications

Templates may be modified by the purchaser.

However:

Once a template has been modified, amended, or integrated into a transaction, the Bureau bears no responsibility for the resulting document.

The Bureau shall not be liable for:

  • user modifications

  • third-party amendments

  • negotiation outcomes

  • transaction results arising from the use of the template.

7. Optional Services

The Bureau may offer additional paid services, including:

  • reviewing template modifications

  • reviewing counterparty amendments

  • assisting with document adaptation

  • drafting customized legal templates.

Such services are separate from template purchases and may require a formal engagement agreement.

8. Intellectual Property

All templates and materials available on the website are the exclusive intellectual property of The Legal Drafting Bureau.

Templates are licensed, not sold.

9. Prohibited Uses

Users may not:

  • resell templates

  • distribute templates

  • sublicense templates

  • upload templates to marketplaces

  • publicly share templates

  • represent templates as their own work.

Violation may result in legal action.

10. Limitation of Liability

To the fullest extent permitted by law, the Bureau shall not be liable for:

  • contractual disputes arising from template use

  • losses resulting from template adaptation

  • commercial losses

  • indirect or consequential damages.

Templates are tools intended to assist drafting, not guarantees of legal outcomes.

11. Governing Law

These Terms are governed by the laws of the United Arab Emirates.

Any dispute shall fall within the jurisdiction of the competent courts of the UAE.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Updated versions will be published on the website.
